These Terms of Service ("Terms") govern access to and use of the services provided by Sunzal Tech Labs Inc, a corporation registered in British Columbia, Canada ("everopen.ai", "we", "us", or "our").

By accessing or using everopen.ai, including our website, platform, APIs, messaging integrations, AI systems, and related services (collectively, the "Services"), you agree to be bound by these Terms.

If you are using the Services on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms.

1. Description of Services

everopen.ai provides AI-powered automation, conversational agents, messaging integrations, voice systems, workflow tools, appointment management, product/store functionality, and related infrastructure for businesses ("Customers").

The Services may include:

  • AI-generated responses
  • Messaging integrations (e.g., WhatsApp or similar platforms)
  • Voice call automation, recording, and transcription
  • Retrieval-based knowledge systems (RAG)
  • Workflow automation
  • Appointment scheduling
  • Product and store management tools
  • APIs and developer tools

We may modify, enhance, suspend, or discontinue any part of the Services at any time.

2. Service Availability

The Services are provided on a commercially reasonable efforts basis.

We do not guarantee uninterrupted or error-free operation.

everopen.ai does not provide service-level agreements (SLAs) unless expressly agreed in a separate written contract.

Scheduled maintenance, updates, or third-party outages may impact availability.

3. Eligibility

To use the Services, you must:

  • Be at least 18 years old
  • Have the legal capacity to enter into binding agreements
  • Provide accurate and complete registration information

You are responsible for all activities that occur under your account.

4. Accounts and Security

You agree to:

  • Maintain the confidentiality of your login credentials
  • Restrict access to your account
  • Promptly notify us of any unauthorized use

We are not liable for losses caused by unauthorized use of your account.

5. Customer Data

Ownership

Customers retain ownership of all data, content, and materials uploaded or generated through the Services ("Customer Data").

everopen.ai does not claim ownership of Customer Data.

License to Process

You grant everopen.ai a limited, non-exclusive license to host, process, store, transmit, and analyze Customer Data solely for the purpose of providing and improving the Services.

everopen.ai may compile and use aggregated, anonymized, and de-identified data derived from Customer Data for analytics, benchmarking, security monitoring, and product improvement purposes, provided such data does not identify any individual or Customer.

Responsibility

Customers are solely responsible for:

  • The legality of Customer Data
  • Obtaining necessary consents
  • Providing required privacy notices
  • Compliance with applicable laws and messaging platform rules

6. AI-Generated Content Disclaimer

The Services use automated artificial intelligence systems.

You acknowledge and agree that:

  • AI-generated outputs may be inaccurate, incomplete, or inappropriate.
  • everopen.ai does not guarantee the accuracy, reliability, or suitability of AI outputs.
  • You are solely responsible for reviewing and validating outputs before relying on them.

The Services are not intended to provide legal, medical, financial, or professional advice.

7. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation
  • Send spam or unauthorized marketing messages
  • Harass, abuse, or harm others
  • Upload illegal, infringing, or harmful content
  • Attempt to reverse engineer or disrupt the Services
  • Circumvent safeguards or security protections
  • Use the Services to develop competing products

We may suspend or terminate accounts that violate this section.

8. Messaging and Voice Compliance

If you use messaging or voice integrations:

  • You are responsible for compliance with platform rules (e.g., WhatsApp policies).
  • You must obtain legally required consents before sending messages or recording calls.
  • everopen.ai is not responsible for penalties, bans, or enforcement actions imposed by third-party platforms.

9. Fees and Payment

If you subscribe to paid Services:

  • Fees are billed in accordance with your selected plan.
  • Payments are non-refundable unless required by law.
  • We may change pricing with reasonable notice.
  • Failure to pay may result in suspension or termination.

You are responsible for applicable taxes.

10. Termination

You may terminate your account at any time.

We may suspend or terminate access:

  • For violation of these Terms
  • For non-payment
  • To comply with legal obligations
  • If your use poses security or legal risk

Upon termination, your right to use the Services ceases immediately.

11. Intellectual Property

All software, systems, designs, trademarks, and technology underlying the Services remain the exclusive property of Sunzal Tech Labs Inc and its licensors.

Except for the limited rights expressly granted, no rights are transferred to you.

12. Confidentiality

You agree not to disclose any non-public information regarding the Services, including technical details, pricing, or system architecture, without prior written consent.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION

We do not guarantee uptime, availability, or error-free performance.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • SUNZAL TECH LABS INC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
  • OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:
    (A) THE AMOUNT PAID BY YOU TO EVEROPEN.AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
    (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY.

15. Indemnification

You agree to indemnify and hold harmless Sunzal Tech Labs Inc, its directors, officers, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of applicable laws
  • Your Customer Data
  • Your misuse of messaging or voice integrations

16. Data Protection

Your use of the Services is also governed by our Privacy Policy.

Where applicable, additional data processing terms may apply between everopen.ai and Customers.

17. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes shall be resolved in the courts located in British Columbia, Canada.

18. Changes to These Terms

We may update these Terms from time to time.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
